Terms and Conditions for the Use of the (Online) Shop www.baiosphere.de

These Terms and Conditions apply to the use of the online shop www.baiosphere.de (hereinafter referred to as "Baiosphere") and any other related agreement or legal relationship with the provider in a legally binding manner. Defined terms are listed in the relevant section of this document. By placing an order, the user acknowledges the following Terms and Conditions. You are requested to read this document carefully.

  • These Terms and Conditions apply to consumers with a billing address in EU countries, as well as in Switzerland, Norway, and the United Kingdom, who use the offers on our website. For the purposes of these Terms and Conditions, a consumer is any natural person who enters into a legal transaction for purposes that are predominantly not attributable to their commercial or self-employed professional activities.

  • For contracts concluded via the Baiosphere online shop, the right of withdrawal applies to all consumers, regardless of where they have their habitual residence..

  • If deadlines are specified in (working) days, this means all weekdays except Saturdays, Sundays, and public holidays.

  1. Terms of Use


Unless otherwise stated, the conditions listed in this section apply to accessing www.baiosphere.de.


Individual or additional usage or access conditions may apply under certain circumstances and will be expressly named in such cases in this document.


  • Within the framework of private autonomy, Baiosphere reserves the right to exercise its virtual domiciliary rights at its own discretion, for example, to issue warnings, reject orders, limit available payment methods, pause or terminate access to the website www.baiosphere.de or membership, or delete submitted content if these Terms and Conditions are violated or if there is abusive behavior. The right of withdrawal according to section 5.1 is in no way restricted by the aforementioned measures. Any claims for damages by Baiosphere remain unaffected.

  • Baiosphere and the products sold in the online shop may only be used as intended and in accordance with these Terms and Conditions as well as the applicable legal regulations.

  • Users are responsible for ensuring that their access to www.baiosphere.de and/or their use of the products does not violate any legal regulations, ordinances, or third-party rights.


  • Therefore, the provider reserves the right to take all appropriate measures to protect its legitimate interests, such as denying users access to www.baiosphere.de or the products, terminating contracts, or reporting any objectionable activities occurring via www.baiosphere.de or the products to the competent authorities, such as judicial or administrative authorities, if users are proven or suspected to:


    • violate legal regulations, ordinances, or these Terms and Conditions; or

    • infringe third-party rights; or

    • significantly impair the legitimate interests of the provider; or

    • offend the provider or a third party.

Users are required to treat their passwords and any other access credentials confidentially and protect them from unauthorized access by third parties.


4.2 Paid Products


  • Some of the products available through www.baiosphere.de are subject to charges.

  • Prices, durations, and other conditions applicable to the purchase of such products are described below. Additionally, reference is made to www.baiosphere.de and the respective designated sections therein.


4.3 Product Description


  • Prices, descriptions, and availability of products can be viewed in the respective sections on www.baiosphere.de and may be subject to change without prior notice.

  • Although products on www.baiosphere.de are presented with the utmost technical accuracy possible, representations of any kind (including graphical representations, images, colors, sounds) are for reference only and do not constitute a guarantee regarding the characteristics of the purchased product.

  • The features of the selected product are explained during the purchasing process.


4.4 Purchase Process


  • All steps from selecting a product to placing the order are part of the purchase process.

  • The purchase process includes the following steps:

    • The user selects the desired product from the range and reviews their product selection.

    • After reviewing the product selection details, the user can place the order by submitting it to the provider.


4.5 Placing an Order


  • When the user places an order, the following applies:

    • By placing the order, a contract is concluded. Placing the order obligates the user to pay the purchase price, taxes, and any additional fees and expenses as specified on the order page.

    • If user-provided details such as personal information, specifications, or special requests are required, placing the order obligates the user to cooperate accordingly.

  • Upon placing the order, users will receive an order confirmation.

  • All notifications related to the described purchase process will be sent to the email address provided by the user for this purpose.


4.6 Prices


  • Users will be informed during the purchasing process and prior to placing the order about all charges, taxes, and costs they are responsible for (including any shipping costs).

  • Prices are displayed on www.baiosphere.de as follows:

    • Prices are total prices inclusive of applicable VAT and packaging.

    • Additional costs may apply for shipping, as well as costs for conducting any necessary customs formalities for orders from non-EU countries.


4.7 Offers and Discounts


  • The provider may offer discounts or special promotions for purchasing products. Such offers and discounts are always subject to the conditions and terms listed on www.baiosphere.de in the respective section.

  • Offers and discounts are granted at the provider's discretion.

  • Repeated or recurring offers or discounts do not create any claims or rights that users can assert in the future.

  • Depending on the situation, discounts or offers may be valid for a limited time or while supplies last. If an offer or discount has a time limit, the timing specified refers to the provider's time zone unless otherwise stated. This information can be found in the provider's relevant disclosures in this document.


4.8 Coupons


  • Offers or discounts may be based on coupons.

  • In case of a breach of the conditions applicable to coupons, the provider may lawfully refuse to fulfill its contractual obligations and expressly reserves the right to take appropriate legal action to protect its rights and interests.

  • Notwithstanding the provisions below, all additional or divergent rules for the use of coupons found on the respective information page or the coupon itself shall always prevail.


  • Unless otherwise specified, the following rules apply to the use of coupons:

    • Each coupon is valid only if used in the manner specified on the website and/or on the coupon itself and within the specified period.

    • A coupon can only be used in full and at the time of purchase – partial use is not permitted.

    • Unless otherwise specified, coupons for single-use can only be used once per purchase and therefore can only be used once even in installment purchases.

    • Coupons cannot be used cumulatively.

    • The coupon must be redeemed within the timeframe specified in the offer. After this period expires, the coupon automatically becomes invalid, precluding any possibility to claim rights arising from the coupon, including any cash payout.

    • The user has no entitlement to credit/refund/compensation if there is a difference between the value of the coupon and the redeemed value.

    • The coupon is intended solely for non-commercial use. Any reproduction, imitation, or commercial trading of the coupon is prohibited, as well as any illegal activities related to the purchase and/or use of the coupon.


4.9 Payment Terms and Payment


  • Information about accepted payment methods will be provided during the purchasing process.

  • Some payment methods may only be available subject to additional terms or fees. In such cases, relevant information can be found in the corresponding section of the service (www.baiosphere.de).

  • Payment methods processed by the provider itself are clearly marked. In such cases, the provider collects and stores the data necessary for payment processing and to fulfill related legal obligations. More details regarding data processing and user rights can be found in the service's Privacy Policy (www.baiosphere.de).

  • Other payment methods, if available, are managed through third-party services. In such cases, www.baiosphere.de does not collect payment data – such as credit card information – but only receives a notification from the respective third-party service once the payment has been successfully processed.

  • If payment fails through the available methods, the provider is not obligated to fulfill the order. In case of payment failure or rejection, the provider reserves the right to demand all associated costs or damages from the user.


  • When selecting a payment method offered by PayPal, payment processing is handled by PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (registered in the Luxembourg Trade and Companies Register under R.C.S. Luxembourg B 118 349), subject to the PayPal User Agreement, accessible at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full.

  • If users authorize the PayPal function enabling future purchases, www.baiosphere.de stores an identification code linked to the users' PayPal account. This authorization allows www.baiosphere.de to process payments automatically for future purchases or recurring installments of past purchases.

  • This authorization can be revoked at any time by contacting the provider or by adjusting user settings on PayPal.


4.10 Coupon


Various types of coupons are offered on www.baiosphere.de: Gift vouchers, promotional vouchers, and compensation vouchers:


4.10.1 Gift Vouchers

  • Gift vouchers are vouchers that can be purchased in the shop and can only be redeemed on www.baiosphere.de, unless otherwise stated on the voucher. The gift voucher will be provided to the user via email after ordering.

  • Gift vouchers and any remaining balance on gift vouchers can be redeemed until the end of the third year after the year of voucher purchase.

  • For technical reasons, the provider can only accept one gift voucher per order. If the user has multiple gift vouchers, they can contact Baiosphere Customer Service (hello@baiosphere.de) to consolidate the gift vouchers into one total voucher. The total voucher can then be redeemed in a single order.

  • Gift vouchers can only be used to purchase goods and services and cannot be used to purchase additional gift vouchers.

  • If the price of an order exceeds the balance of a gift voucher, the difference can be settled using the available payment methods. If the price of the order is less than the balance of a gift voucher, the remaining balance can be used in the next order.

  • In case of contract cancellation for any reason, the purchase price will be refunded via credit to the voucher account and, if applicable, the additional payment method used.

  • Gift vouchers are transferable.

  • Lost, especially stolen voucher codes will not be refunded. Baiosphere assumes no liability for lost voucher codes.


4.10.2 Promotional Vouchers

  • The terms and conditions for promotional vouchers can be found in Section 4.8..


4.10.3 Kompensationsgutscheine

  • Compensation vouchers are vouchers that cannot be purchased but are issued by Baiosphere at its discretion as compensation without admission of legal obligation.

  • The provisions applicable to promotional vouchers apply accordingly.

  • In case of reasonable suspicion of fraud or other illegal or improper activities related to the purchase or redemption of a voucher, Baiosphere reserves the right to temporarily or permanently block the respective voucher code or refuse its redemption (temporarily or permanently). In the latter case, the user has the right to cancel the order.

  • Cash payment of the voucher amount is not possible, nor is transfer for value or retroactive offsetting for purchases already made, i.e., before completing the ordering process.

  • The aforementioned vouchers can only be redeemed by consumers.


4.11 Retention of Title


  • The ordered products remain the property of the user until the full purchase price has been received by the provider.


4.12 Delivery


  • Deliveries are made to the address provided by the user and in the manner specified in the order overview.

  • Upon delivery, users should inspect the contents and report any discrepancies promptly using the contact details provided in this document or as described in the delivery note. Users may refuse acceptance of the package if visibly damaged.

  • Goods are delivered to the following countries or territories: EU, Switzerland, Norway, United Kingdom.

  • The standard delivery time is 3-5 working days. The delivery period starts the day after payment is made via prepayment or, for all other payment methods, the day after the contract is concluded. If the deadline falls on a Saturday, Sunday, or public holiday at the place of delivery, the deadline is extended to the next working day.

  • Alternatively, a delivery date can be agreed upon individually via email at hello@baiosphere.de.


4.12.1 Unsuccessful Delivery

  • The provider is not liable for delivery errors due to inaccuracies or incompleteness in the execution of the order by the user, nor for damages or delays after handover to the carrier, if the carrier was chosen by the user and not recommended or provided by the provider.

  • If the goods are not accepted at the specified time or picked up within the specified period, they will be returned to the provider. In such a case, the provider will contact the user to arrange a second delivery attempt or discuss further steps.

  • Unless otherwise agreed, from the second delivery attempt onwards, the user bears the costs for each subsequent delivery attempt as well.

  1. User Rights


5.1 Right of Withdrawal


  • Unless exceptions apply, the user can withdraw from the contract within the specified period (typically 14 days) without giving any reason. In this section, users will find more information about the withdrawal conditions.


5.1.1 Who is Covered by the Right of Withdrawal

  • The right of withdrawal is a right intended for European consumers in distance contracts (because the user cannot see or try out the products before concluding the contract). Exercising the right of withdrawal terminates the obligations of the contracting parties.

  • For www.baiosphere.de, the right of withdrawal applies to all consumers, regardless of their location, without prejudice to any special rights provided by law or this document.

  • Unless one of the exceptions listed below applies, users acting as consumers have the right to withdraw from the contract for any reason and without justification within the applicable period for their case.

  • The rights outlined in this section do not apply to users who do not act as consumers. The consumer is only liable to the seller for any diminished value of the goods resulting from the handling of the goods other than what is necessary to establish the nature, characteristics, and functioning of the goods.



5.1.2 Exercise of the Right of Withdrawal

  • To exercise their right of withdrawal, the user must send a clear statement to the provider indicating their decision to withdraw from the contract.

  • For this purpose, users may use the withdrawal form template provided below. However, users are free to express their decision to withdraw clearly and unequivocally in any other appropriate manner. To meet the withdrawal deadline, the user must send the withdrawal statement before the withdrawal period expires.

  • When does the withdrawal period expire?

    • For the purchase of goods, the withdrawal period ends 14 days after the day on which the user or a third party designated by the user, who is not the carrier, takes possession of the goods.

    • For the purchase of multiple goods in a single order that are delivered separately, the withdrawal period ends 14 days after the day on which the user or a third party designated by the user, who is not the carrier, takes possession of the last item delivered, batch, or piece.

5.1.3 Effect of Withdrawal

  • Users who withdraw from a contract in accordance with the procedure will receive a refund of all payments made to the provider, including any delivery costs, if applicable.

  • However, the provider is not obligated to refund additional costs if the user has chosen a delivery method other than the least expensive type of standard delivery offered by the provider.

  • The refund will be processed without undue delay and no later than 14 days from the day the provider is informed of the user's decision to withdraw from the contract. The provider will carry out the refund using the same payment method that the user used for the initial transaction, unless expressly agreed otherwise with the user. In any case, the user will not incur any fees as a result of the refund.


  • The user must return or hand over the goods to the provider or a person authorized by the provider to receive the goods immediately and in any event no later than 14 days from the day on which they notified the provider of their decision to withdraw from the contract, unless the provider has offered to collect the goods themselves.

  • The deadline is met if the user hands over the goods to the carrier before the 14-day period expires or returns the goods by another means as specified above. The provider may withhold the refund until they have received the goods back or until the user has provided proof of returning the goods, whichever occurs earlier.

  • The user is liable for any diminished value of the goods only if this loss in value is due to handling of the goods that was not necessary to ascertain their nature, characteristics, and functioning.

  • The user bears the cost of returning the goods.


5.1.4 Exceptions to the Right of Withdrawal

  • The right of withdrawal does not apply to:

    • Goods that are liable to deteriorate or expire rapidly, such as plants.



5.2 Warranty


  • Under EU law, entrepreneurs are liable for a period of at least two years from delivery for the conformity of the products sold to consumers.

  • For users acting as European consumers, the statutory warranty rights applicable to goods available via www.baiosphere.de apply in accordance with the laws of their habitual residence.

  • The national laws of these countries may grant users more extensive rights.

  • For users not acting as European consumers, the warranty rights of the country where they have their habitual residence apply.


  • Extension of scope to consumers residing outside the EU:

    The provider contractually extends the warranty rights applicable to consumers in the country of its domicile to all consumers. If users are entitled to more extensive rights under their applicable laws, these remain unaffected.


  • Conformity to contract for Consumers in the United Kingdom:

    Users in the United Kingdom qualifying as Consumers have a right to receive goods that are in conformity with the contract.


  • Claims for damages due to obvious defects in the delivered goods are excluded if the user does not notify the provider of the defect within a period of two weeks after delivery of the goods.

  • If the goods are delivered with obvious damage to the packaging or contents, the provider requests the user to immediately report the delivery to the relevant courier and contact Baiosphere Customer Service (hello@baiosphere.de). This notification does not affect warranty rights but facilitates Baiosphere in enforcing its claims against the courier.



5.3 Liability


Unless expressly stated otherwise or agreed with users, the provider's liability for damages arising from the performance of the contract is excluded, limited, and/or restricted to the extent permitted by applicable law.


5.3.1 Indemnification

  • To the extent permitted by applicable law, the user agrees to indemnify and hold harmless the provider and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, and employees from any claims or demands, including but not limited to attorney fees and costs, arising out of or in connection with any breach of these Terms and Conditions, third party rights, or statutory provisions related to the user's use of the service or actions of their assistants, officers, directors, agents, co-branders, partners, and employees.


5.3.2 Limitation of Liability

  • Unless expressly stated otherwise and without prejudice to applicable statutory provisions, users have no right to compensation from the provider (or any natural or legal person acting on its behalf).

  • This does not apply to damages to life, health, or physical integrity, or damages resulting from the breach of material contractual obligations, such as obligations essential for achieving the purpose of the contract and/or damages resulting from intent or gross negligence, provided that www.baiosphere.de was used properly and correctly by the user.

  • Unless damages are caused intentionally or by gross negligence, or affect life, health, or physical integrity, the provider's liability is limited to damages typical and foreseeable at the time of contract conclusion.

  • In particular, within the aforementioned limits, the provider is not liable for:

    • Damages or losses resulting from interruptions or malfunctions of the service (www.baiosphere.de), if these interruptions or malfunctions are due to force majeure or unforeseen and unforeseeable events beyond the provider's control, such as, but not limited to, failures or interruptions of telephone or power lines, the internet and/or other transmission mediums, unavailability of websites, strikes, natural disasters, viruses, and cyber-attacks, interruptions in the delivery of products, services, or applications by third parties;

    • Any losses, except those directly resulting from a breach of the Terms and Conditions by the provider;

    • Any loss of business opportunities and any other loss, even indirect, that may arise for the user (such as business losses, loss of sales, loss of income, profits or expected savings, loss of contracts or business relationships, loss of reputation or goodwill, etc.).

6. Common Provisions


6.1 No Waiver


Failure by the provider to enforce a right under these Terms and Conditions or to enforce a provision of these Terms and Conditions does not constitute a waiver of such right or provision. No waiver is deemed to be a continuing waiver.


6.2 Service Interruption


  • To ensure the best possible service, the provider reserves the right to interrupt the service for maintenance, system updates, or other changes. Users will be informed in a timely manner.

  • In accordance with legal provisions, the provider may also suspend or terminate the service entirely. In the event of service termination, the provider will provide users with the opportunity to secure personal data or information in accordance with applicable law and will consider any claims by users for continued use and/or compensation under applicable law.

  • Additionally, the service may be unavailable due to reasons beyond the provider's control (so-called "force majeure" reasons), such as infrastructure failures or power outages, etc.


6.3 Resale


Users may not reproduce, duplicate, copy, sell, resell, or exploit www.baiosphere.de and its products in any manner without the express prior written permission of the provider, granted either directly or through a lawful reseller program.

  • Without prejudice to more specific provisions of these Terms and Conditions, all intellectual property rights, such as copyrights, trademarks, patent rights, and design rights related to www.baiosphere.de, are the exclusive property of the provider or its licensors and are protected under the applicable law or international treaties concerning intellectual property.

  • All trademarks, trade names, service marks, word marks, illustrations, images, or logos appearing in connection with www.baiosphere.de are and remain the exclusive property of the provider or its licensors and are protected under the applicable law or international treaties concerning intellectual property.


6.6 Changes to these Terms and Conditions


  • The provider reserves the right to change or otherwise modify these Terms and Conditions at any time. In such a case, the provider will inform the user appropriately about these changes

  • Such changes will only apply to the contractual relationship from the point in time communicated to the user.

  • By continuing to use the service, the user accepts the modified Terms and Conditions. If users do not wish to be bound by the changes, they must discontinue using the service and may terminate the contract.

  • If the revised terms are not accepted, either party may terminate the contract. For the relationship before the user's acceptance of the changes, the respective previous version of the Terms and Conditions applies. The user can obtain any previous version of the Terms and Conditions from the provider.


6.7 Assignment


  • The provider reserves the right, taking into account the legitimate interests of the user, to transfer, assign, replace by novation, or otherwise transfer all rights and obligations under these Terms and Conditions. The provisions regarding changes to the Terms and Conditions apply accordingly.

  • Users may not assign or transfer their rights or obligations under the Terms and Conditions in any way without the written approval of the provider.

6.9 Severability Clause


If any provision of these Terms and Conditions is or becomes invalid or unenforceable under applicable law, this shall not affect the validity of the remaining provisions, which shall remain in full force and effect.


6.9.1 EU Users

  • If any provision of these Terms and Conditions is deemed invalid or unenforceable, the parties will endeavor to amicably reach an agreement on valid and enforceable provisions to replace the invalid, void, or unenforceable parts. Otherwise, the invalid, void, or unenforceable provisions shall be replaced by the applicable legal provisions under current law, if permissible or provided for under the applicable law.

  • Notwithstanding the foregoing, the nullity, invalidity, or unenforceability of any individual provision of these Terms and Conditions shall not affect the validity of the entire agreement, unless it concerns essential contractual provisions or provisions of such importance that the parties would not have entered into the contract had they known of the invalidity of the provision. If the remaining conditions would impose an unreasonable hardship on any party, the nullity of the individual provision shall result in the nullity of the entire agreement.


6.10 Applicable Law


  • These Terms and Conditions are governed by the law of the jurisdiction where the provider is based, excluding conflict of law provisions. Users can find the provider's jurisdiction in the corresponding section of this document.

  • Priority of National Law

    • However, if the law of the country where the user is located provides for a higher consumer protection standard, that higher standard shall apply.

  • Exception for Consumers in Switzerland

    • If the user is classified as a consumer in Switzerland, Swiss law shall apply.



6.11 Jurisdiction


The courts of the jurisdiction where the provider is based – as indicated in this document – shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms and Conditions.


6.11.1 Exception for European Consumers

  • This does not apply to users who are acting as European consumers nor to users in the United Kingdom, Switzerland, Norway, or Iceland who are acting as consumers


6.11.2 Consumers in the United Kingdom
